TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Silent Facts platform at silentfacts.com (the "Service"), operated by GraphEdge Analytics Inc., a New Jersey corporation ("we", "us", or "Company").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Disclaimer. If you do not agree, do not use the Service.

You must be at least 18 years old and legally able to enter into binding contracts to use the Service. Accounts are provisioned through Amazon Cognito; your sign-in identity is bound to a verified email address.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at smaitra1@graphedgeanalytics.com of any unauthorized access.

You may use the Service for your own internal research, investment analysis, and reporting. You may not:

• Scrape, mirror, or systematically download Service content (including graph nodes, relationships, NLP query results, or generated insights) outside of our published API limits and CSV/PDF export features.
• Resell, sublicense, or redistribute Service content as part of a competing financial-data product, terminal, or research distribution platform.
• Reverse-engineer, decompile, or attempt to derive source code or model weights of the Service.
• Circumvent rate limits, authentication, or any other access controls.
• Use the Service to develop a competing product, train any third-party machine-learning model, or compile a competing dataset.
• Upload or transmit content that is unlawful, infringing, or designed to disrupt the Service.

Violation may result in suspension or termination of your account at our discretion, with or without notice.

Source data is derived from publicly available filings (SEC EDGAR, Nasdaq, Form 13F filings, and similar regulatory disclosures). The Service's value lies in our processing, graph modeling, NLP layer, and curated relationship extraction — not in the underlying public data.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal purposes during the term of your subscription. We retain all right, title, and interest in the Service, including all software, models, graph schema, prompts, and generated content.

You retain ownership of any data you submit (e.g., watchlist tickers, saved queries, custom notes). By submitting data, you grant us a worldwide, royalty-free license to host, display, and process it solely to provide the Service to you.

The Service offers a Free tier and paid tiers (Solo Pro, Team, Enterprise). Paid tiers begin with a 14-day trial and require no credit card up front. After the trial, paid plans are billed monthly or annually in advance through our payment processor (Stripe). Annual plans receive the discount listed on the pricing page at the time of purchase.

You may cancel at any time. Cancellation takes effect at the end of the current billing period; we do not offer pro-rated refunds for partial periods except where required by law.

We may change pricing with at least 30 days' notice to your account email. Continued use after the effective date constitutes acceptance of the new pricing.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. We do not warrant that data is current, complete, or error-free, that the Service will be uninterrupted, or that defects will be corrected.

To the maximum extent permitted by law, GraphEdge Analytics Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, trading losses, or loss of data, arising out of or in connection with your use of the Service.

Our aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration shall be New Jersey, USA. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

Class action waiver. You and we agree that disputes will be resolved on an individual basis only and not as part of any class, consolidated, or representative action.

We may update these Terms from time to time. Material changes will be announced via the account email associated with your sign-in at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
